The VP Bapco Upstream - BE Entities manages the day-to-day of the legal framework of the Upstream and Midstream business entities within the Bapco Energies Group, ensuring proper governance structures and supporting the growth and management of these entities. The VP Bapco Upstream - BE Entities plays a critical role in ensuring compliance with applicable laws and regulations, joint ventures and partnerships and providing strategic legal support to senior management in connection with all aspects of Bapco Upstream and Bapco Gas operations, fostering the development and success of the business entities.
Management of Legal Framework
- Oversee the legal framework for Bapco Upstream, Bapco Gas and any other SBUs across various jurisdictions, ensuring compliance with local and international laws.
- Provide accurate and timely expert legal advice, opinions, guidance and assistance to Senior and Executive Management across all relevant SBU departments on legal issues across various business models with customers, vendors and partners, as well as compliance with all applicable laws and regulations, related finance matters, insurance matters, employment matters, regulatory matters and dispute resolution matters as directed by the Group SVP BE Entities.
- Lead and manage the drafting, reviewing and negotiating of high-value contracts, contractual exceptions, non-disclosure agreements, memorandums of understanding, term sheets, service agreements, purchase orders, and a variety of other forms of agreements and legal arrangements with third parties, appropriately analyzing the risk profile and managing legal risks.
- Develop legal and risk mitigation, and claim management strategies, including mediation and arbitration, and contractual solutions to complex legal matters and manage the negotiation of high-value contract / major project related claims with third parties.
- Liaise with and supervise external counsel on day-to-day matters, including local litigation and the development of legal strategies to achieve desired outcome for the company, as directed by the Group SVP BE Entities.
- Foster relationships with internal and external stakeholders, and legal and regulatory bodies, including government agencies and industry associations.
Governance Frameworks
Develop and implement legal policies and procedures to manage the entities effectively.Establish and maintain robust governance frameworks for all business entities, including the development of monitoring framework for internal processes to ensure compliance with applicable laws and regulations and internal control mechanisms.Ensure that governance structures align with the company's strategic objectives and regulatory requirements.Compliance with Local / Applicable Laws
Ensure that all business entities adhere to local, national, and international laws and regulations.Identify and manage legal risks related to business operations, including regulatory changes and compliance issues.Stay updated on legal changes and advise the company on necessary adjustments to maintain compliance, identifying risks and developing corrective action plans.Performance Monitoring and Reporting
Monitor the performance of business entities, identifying legal risks and opportunities for improvement.Develop and implement process improvements and enhancements to contractual frameworks to effectively manage legal risks and safeguard the company’s position.Prepare and present regular reports on the legal status and performance of the entities to Senior and Executive Management.Support the Group SVP BE Entities to develop the annual budget and oversee the monthly budget data and invoice management.Develop and propose suitable Key Performance Indicators (KPIs) for the vertical.Governance Documentation
Ensure that all governance documentation, including bylaws, charters, and minutes of meetings, is accurately maintained and up-to-date.Maintain systems for efficient document management and retrieval, including cross-functional collaboration and contract management.Leadership and Mentorship
Lead and manage the relationship and workflow between various internal stakeholders and operational critical departments, with respect to all contracting and procurement activities to ensure the timely review and allocation of tasks, ensuring the time-critical matters are prioritized so as not to impact ongoing company operations.Supervise, lead and mentor junior legal team members working within the BE Entities vertical, fostering their professional development and ensuring high standards of legal practice.Promote a collaborative and supportive team environment, encouraging continuous learning and improvement.Prepare training materials and provide training workshops to other departments on legal contracts, transactions, arrangements, and other matters, when required.Provide support to the professional development of other members of the BE Entities vertical.Knowledge Skills And Experience
Bachelor’s degree in law, or related field from an accredited school of law, with superior academic credentials.Minimum of 12+ years of experience in corporate and commercial law with a law firm or an in-house with an international company, with experience drafting and negotiating contracts and advising on a broad range of legal issues, corporate governance and management of legal department.UK or Bahrain law qualified lawyer, preferred.Previous oil and gas experience desirable.Strong knowledge of English law and applicable regulatory frameworks for business entities.Excellent leadership, communication skills and negotiation skills.About Us
